The Empire Company Limited

In the Empire Company Limited Case, James Vaux, the associate director at Scotia Capital is the main decision maker. It is his job in September of 1998 to decide on a price at which The Oshawa Group Limited will sell their company/accept a takeover offer at. The Oshawa Group Limited (Oshawa) is a food retail, wholesale, and distribution firm. The Empire Company wants to expand beyond their Atlantic Canada roots; however, there are a few catches. The Wolfe family owns 100% of the voting shares of the company, and not only know the value of their company and expect to receive at least that much, but also a premium on top of that.Greg Rudka is the Managing Director at Scotia Capital; he has extensive background in the history of the grocery industry and was the one who noticed this opportunity as well as the person who assigned James Vaux to his assignment of the value of Oshawa. ISSUES There are two main issues at hand. First, Vaux needs to determine a value for both classes of shares that Empire would be willing to pay to the Wolfe family and Oshawa equity holders to acquire a position in the Oshawa Company without starting a bidding war.The second issue is that Vaux needs to find a way to finance the deal. There are a few minor issues in this case, starting with competition. The grocery industry is very competitive. There are only a few large firms involved in the industry. Of course, there are mom and pop stores all over North America, but they only make enough to live themselves and they are not bringing in the same profits as the major chains, so they are not legitimate threats to Empire. Next, the Oshawa Company’s entire voting shares are owned by the Wolfe family as mentioned above.This will add to the level of difficulty in the purchase or acquisition of Oshawa. Finally, the last issue is that in the grocery industry, it is cheaper to acquire a competitor’s company and chains than it is to open a new store. In other words, horizontal acquisi tions were the primary source of growth on the revenue side for the grocery business. People don’t like change and because of this, creating or changing the name of their â€Å"local grocery store† may upset or disrupt their previous shopping experiences.

Destin Brass Product Co Essay

Established in 1984, Destin Brass Products Co. had grown to become a significant player in the industry of manufacturing water purification equipment. By identifying a market for water purification valves, Destin Brass quickly built brand awareness and a customer base. Destin Brass developed propriety manufacturing techniques and had a deep understanding of working with brass. This competitive advantage led Destin Brass to add pumps and flow controllers to its product range. Valves, Pumps and Flow Controllers represented 24%, 55% and 21% of company revenues respectively with each having a planned gross margin of 35%. In recent times, manufacturers of pumps had entered into a price war forcing prices down and consequently Destin Brass saw its gross margin on pump sales drop to 22%. At the same time, Destin Brass had found that the price elasticity of demand for Flow Controllers was relatively inelastic, when it increased prices by 12.5% with no effect on demand. Confused by competitor moves in the price cutting of pumps, the managers at Destin Brass considered if competitors simply didn’t know what they manufacturing costs were, but it was more likely that problems may lie within Destin Brass’s cost accounting system. Destin Brass currently had a traditional cost accounting system in place. The system took into account direct and indirect costs based on production and sales activity. Each produced unit was charged for material cost based on component costs and labour costs based on production run labour times. Overheads were then allocated in a two stage process and yielded standard unit cost of $37.6, $63.1 and $56.5 for valves, pumps and flow controllers respectively. An alternative to the traditional approach would be to forego overhead cost allocation altogether. Material and set-up labour cost overheads would be allocated to each product line and machine hours would be changed for labour dollars as the basis for allocating the remaining factory overhead. This revised approach reduced pump and flow controller unit costs to $58.9 and $47.9 but increased valve unit costs to $49. A final approach involved more accurately distributing engineering costs and the idea that activity, rather than production volume, drove costs. This activity based costing (ABC) system would be allocated on the basis of transactions. ABC yielded a standard unit cost of $47.2, $51.6 and $74.2 for valves, pumps and flow controllers respectively. The ABC system suggested that Destin Brass could reduce pump prices dramatically whilst still maintaining healthy margins and at the same time increase flow controller prices to maximise profits. The case illustrates that misused cost accounting systems can have serious strategic implications for a business.

Each change from zero to one in PCM sequence gives SET in DiPPM signal, and the change from one to zero in PCM sequence produces an RESET pulse in DiPPM. No pulse generated in DiPPM signal when the PCM sequence does not change. The third step in this program was used to regenerate the original PCM sequence from the DiPPM sequence (DiPPM decoder). The program is going to produce a binary one in PCM sequence when it receives an SET pulse, and it continues until an RESET pulse is received to produce a binary zero. The fourth step of the program is applied to change the binary sequence (one & zero) to pulse shape. Plots output for the DiPPM coder and decoder system were set in the last part of the program. Figure (5.1), shows the DiPPM system results for two different PRBS PCM sequences. Each run simulation produces four line output plot, clock sequence in the first line, then the PCM sequence and DiPPM and Decoded PCM sequence are coming respectively. It is clear from the figure that the system working as the DiPPM theory mentioned, chapter three. The first function is for RS encoder and the second function for RS decoder. The encoder function encodes the message in (msg) using an [n,k] Reed Solomon code and specifies the generator polynomial (genpoly) for the code. By acid derivative, salicylic acid is treated with acetic anhydride, which will giving a chemical reaction that change hydroxyl group in salicylic acid into ester group (R-OH → R-OCOCH3). This esterification reaction will yields aspirin as well as acetic group which is a byproduct in this reaction. The presence of any unreacted or excess salicylic acid is detect by 1% iron III chloride(FeCl3). As salicylic acid got phenol group, the FeCl3 test will giving a positive result that show colour change to violet colour if there have molecule possessing phenol group. Hence, the commercial aspirin will given negative result because it does not have phenol group with it. Hypothesis When salicylic acid reacts with acetic anhydride will yield aspirin and acetic acid. Procedure Preparation of aspirin A bath was prepared by using 400mL beaker was filled with half with water and it was heated until it boiling. 2.00g of salicylic acid was weighed and placed in 125mL dry conical flask. This quantity was used to calculate the theoretical yield of aspirin. 3mL of acetic anhydride was measured and added into the conical flask with gently swirled. The 3 drops of concentrated sulphuric acid was added into the flask during swirling. After that, the conical flask was placed in a beaker of warm water for 15 minutes. The reagents were mixed and then placed in a beaker of boiling-water bath for 30mins until the solid was completely dissolved. The solution was swirled occasionally. The conical flask was removed from the bath and it was cooled down to approximately room temperature which is 27Â °C. The solution was slowly poured into a 150mL beaker which containing 20mL of ice water and mixed completely then placed in an ice bath. During the ice bath, glass rod was used to mix the solution and scratching along the bottom of the beaker vigorously.(be aware no to poke a hole through the beaker.) The crystal were formed and collected by using Buchner funnel through filtration and suction. The crystals were washed by 5mL of cold water and the followed by 5mL of cold ethyl acetate. Suction was continued for at least 5mins for drying the crystals. The crystals were transferred to a 250mL beaker by using spatula and 5 drops of ethanol were added into the beaker. The beaker was stirred and warmed inside a water bath to dissolve the crystal. Re-crystallization process was performed. After the crystals dissolved 25mL warm water was added to the alcohol solution. The solution was let to cool down and then crystals were formed. Once the crystallization started, the beaker in the ice bath was set to complete the re-crystallization. The contents in the beaker were poured into Buchner funnel and suction and filtration was applied. Filter papers were used to remove all the excess water by moving the crystals on the filter paper anf placed it between several sheets of filter papers and gently pressed to dry the solid. Petri dish was weighed. Then crystal added on it and reweigh of petri dish. The weight of the purified aspirin was obtained by simple calculation and then this is used to obtain the percentages yield of aspirin. Analysis of Aspirin. This experiment was required 3 drops of concentrated sulphuric acid, because concentrated sulphuric acid was act as a catalyst for speeding up the reaction without affecting the result. The reaction will still take place if the concentrated sulphuric acid were omitted. This experiment used ice water during the work up is due to the characteristic of aspirin. Aspirin is insoluble in water and cold water will reduce the solubility of aspirin in water and it can be isolated when undergo suction through filtration with chilled reaction solution. Then the water is used to hydrolyse the acetic anhydride to acetic acid and can be easily removed by filtration. Therefore, all the impurities can be removed. The principle of recrystallization is the amount of solute that can he dissolved by a solvent increases with temperature. Recrystallization only works when a proper solvent used. In this experiment the solvent that used to dissolved the impurities is ethyl acetate and then using hot filtration to remove inpurities. The purity of the synthesized acetylsalicylic acid was tested by FeCl3, if there is colour change (violet colour) that means there have impurities in acetylsalicylic acid. The purity of acetylsalicylic acid was determined by melting point. In this experiment the melting range for acetylsalicylic acid is 144Â °C-172Â °C which is higher than commercial aspirin which is132.8Â °C-138.9Â °C, meaning that acetylsalicylic acid obtained in this experiment contained impurities. There have some improvement for this experiments as in used all the salicylic acid powder and ensured that there is no drop on the table. During transferring the reactants from one to another container make sure that there is no any remaining in the container. Furthermore, during filtering the aspirin by using the suction ensure that all holes on the Buchner funnel are covered for preventing the reduction of yield product. Conclusion This experiment was supported the hypothesis suggested. When salicylic acid reacts with acetic anhydride will yield acetylsalicylic acid which known as aspirin. In this experiment, the limiting agent is salicylic acid. The melting point range for the acetylsalicylic acid obtained is 144Â °C-172Â °C, it is because it contains impurities. The theoretical yield of aspirin is 2.628g, but the actual yield of aspirin obtained is 0.8953g. therefore, the percentage yield of aspirin is 34.07%.

With one kiss, they are both in love with each other, without knowing, tragically seal both of their lives into a tomb of confinement, filled only with their love for each other. Another episode of fate, or rather dramatic irony, happens when Romeo somehow misses getting a letter from Tybalt Capulet, his enemy, challenging him to a duel. Romeo, unknowing of the tragic letter sent to him, but not gotten, goes to tell his friends of his beautiful bride, but, in return, comes face-to-face with none other than Tybalt, his loathed enemy, the kin to his new bride, Juliet. As soon as Romeo shows up, though, he is greeted by Tybalt’s insults, calling him a villain, but instead of stepping up to Tybalt’s challenge, though, Romeo backs down, saying, â€Å"Tybalt, the reason that I have to love thee doth much excuse the appertaining rage to such a greeting. Villain I am none. Therefore farewell. I see thou knowest not me.† After harsh words are spoken, families are disgraced, and names are scorned, Romeo finally just backs away. F. S. Fitzgerald's Fighting the Past and Self-Loathing in "Babylon Revisited" Franklin Scott Fitzgerald's life as a writer in the 1920's shaped the stories that he created. Much of the content of many of his tales correlates with his private life with his wife Zelda, his trouble with alcohol, and their lives in Europe. Fitzgerald wrote the story "Babylon Revisited" - perhaps his most widely read story - in December of 1930, and then it was published in February of 1931 in The Saturday Evening Post. Mathew J. Bruccoli writes in "A Brief Life of F. Scott Fitzgerald" that "The dominant influences on F. Scott Fitzgerald were aspiration...Zelda Sayre Fitzgerald, and alcohol," and each of these influences are painfully visible in "Babylon Revisited." Charlie Wales, the main character in "Babylon Revisited," is obviously an image of Fitzgerald and the life that he lived in the roaring twenties, but the sympathy that Fitzgerald's writing seems to presume is as shallow as Charlie's giving up alcohol. The bond between Fitzgerald and Charlie Wales, however, is not as sh allow as the contempt that Fitzgerald holds for the life that both he and Charlie experienced: both Charlie and Fitzgerald experience financial success, suffering marriages, and alcoholism. Through the narration of Charlie's past and his conversations with various characters in "Babylon Revisited," it is explained that Charlie became somewhat wealthy in the boom of the 1920's and spent it frivolously. Charlie and Helen Wales enjoyed a carefree life full of parties, plays, and other functions of high society in which they paid exorbitant amounts of money to every person that they dealt with, where Charlie remembers "thousand-franc notes given to an orchestra for playing... ...rough her affair with a French naval aviator contributed almost the entire storyline from which Fitzgerald created Charlie and the whole of "Babylon Revisited."
